1. Acceptance of Terms
By accessing or using the image editing and post-production services provided by FCP Postproduction ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use our Services. These Terms apply to all clients, visitors, and users of our site and services.
2. Definitions
"Services" refers to the image editing, retouching, clipping path, ghost mannequin, color correction, and related post-production services offered by FCP Postproduction.
"Client" or "You" refers to the individual, agency, or business entity accessing or using our Services.
"Deliverables" refers to the final edited image files transmitted to the Client upon completion of the Services.
3. Services Provided
FCP Postproduction provides high-end, human-powered image editing services supported by AI-integrated tools. We process images based on the specific brand guidelines and instructions provided by the Client. We do not generate AI images; we use technology strictly as a tool to enhance human editing efficiency.
The exact scope, turnaround time, and delivery format will be agreed upon between the Client and their dedicated Customer Success Manager prior to the commencement of work.
4. Intellectual Property Rights
The Client retains all original intellectual property rights to the source images provided to FCP Postproduction. Upon full payment for the Services, the Client acquires full ownership and intellectual property rights of the edited Deliverables.
FCP Postproduction reserves the right to use the Deliverables in our portfolio, case studies, or marketing materials only with the explicit written consent of the Client.
5. Client Obligations
To ensure the highest quality of service, the Client agrees to:
- Provide clear, high-resolution source images and accurate brand guidelines.
- Deliver detailed and precise editing instructions for the assigned team.
- Review test batches thoroughly and provide timely feedback for team calibration.
- Ensure that they possess the legal rights and permissions to have the submitted images edited.
6. Payment Terms
Pricing for Services is based on the complexity of the edit, volume of images, and agreed turnaround times. Unless otherwise stipulated in a signed Service Agreement:
- Invoices are issued upon delivery of the completed Deliverables.
- Payment is due within 15 days of the invoice date.
- We reserve the right to pause ongoing work if invoices remain unpaid past the due date.
- All prices are exclusive of applicable taxes (such as VAT), unless explicitly stated otherwise.
7. Confidentiality & Data Protection (GDPR)
We treat your data and assets with the utmost security. All FCP Postproduction team members operate under strict Non-Disclosure Agreements (NDAs). File transfers are conducted via secure, encrypted channels (SFTP, secure cloud storage).
As we operate offices within the European Union (Lithuania), we fully comply with the General Data Protection Regulation (GDPR). Any personal data collected (such as contact information) is used solely for the purpose of providing our Services and will not be sold to third parties. Source images and Deliverables are retained only for the duration necessary for project completion and backup, after which they are securely deleted unless otherwise requested.
8. Limitation of Liability
FCP Postproduction strives for 100% accuracy. If Deliverables do not meet the agreed-upon guidelines, we commit to re-editing the files at no additional cost. However, we shall not be liable for any indirect, incidental, or consequential damages arising from the use of our Services.
Our total liability for any claim arising from or related to the Services shall not exceed the total amount paid by the Client for the specific project in question.
9. Termination
Either party may terminate the service agreement with 30 days' written notice. Upon termination, the Client agrees to pay for all Services rendered and Deliverables completed up to the date of termination. Any outstanding balances become immediately due upon termination.
10. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Lithuania, without regard to its conflict of law provisions. As we operate internationally, any disputes arising under these Terms shall first be attempted to be resolved through amicable negotiation. Should negotiation fail, the courts of Vilnius, Lithuania shall have exclusive jurisdiction.
